Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Resignation of Director
On September 4, 2024, Elizabeth D. Leykum informed IES Holdings, Inc. (the “Company”) that she was resigning as a member of the Board of Directors of the Company (the "Board"), effective as of September 6, 2024. Ms. Leykum’s decision to resign was related to her other commitments and not due to any disagreement with the Company on any matter relating to its operations, policies or practices. Ms. Leykum also resigned from the Board’s Audit Committee and the Board’s Human Resources and Compensation Committee.
